1. System Overview

The TagAset (Asset Management System) allows Users to track, manage, and inventory assets through the use of unique QR codes. The QR tagging and scanning functions enable Users to easily access and update asset records.


2. Eligibility

By using the System, the User warrants that they are of legal age to form a binding contract and possess the necessary authority to act on behalf of their organization or entity.


3. User Account and Access

  • Users must create an account to access certain features of the System.
  • Users are responsible for maintaining the confidentiality of their account credentials.
  • Unauthorized use of the account or System should be reported to the Company immediately.


4. Use of QR Tagging and Scanning

  • QR codes are used for asset identification and tracking. Users must ensure that QR codes are accurately placed on each asset.
  • Scanning QR codes will allow Users Assets to verify asset information, including asset status, location, and other details.
  • Users must use the QR scanning feature in compliance with local laws and regulations.


5. License Grant

The Company grants Users a limited, non-exclusive, non-transferable license to access and use the System for internal purposes, subject to these Terms.


6. Restrictions

  • Users may not copy, modify, distribute, sell, or otherwise exploit the System or any part of it.
  • The System may not be used for unlawful purposes, including but not limited to fraud, theft, or violation of intellectual property rights.


7. Asset Ownership

  • All assets managed through the System remain the property of the User or the organization that owns them.
  • The System only provides a method for tracking and managing the assets but does not transfer ownership of the assets.


8. Data Privacy and Security

  • Users are responsible for ensuring that all data entered into the System is accurate and complete.
  • The Company will implement reasonable security measures to protect User data, but does not guarantee the absolute security of data transmitted or stored in the System.
  • Users must comply with all applicable data protection laws and regulations, including but not limited to GDPR, HIPAA, or CCPA.


9. User Obligations

  • Users agree to maintain the accuracy of asset information and ensure that QR tags are properly attached and scannable.
  • Users are responsible for any misuse or improper use of the System by individuals who have access to their account.


10. Prohibited Activities

  • Engaging in any activity that may disrupt or interfere with the operation of the System.
  • Attempting to gain unauthorized access to any part of the System, including the servers, databases, or User accounts.
  • Using the System to violate intellectual property rights or any other legal rights of the Company or third parties.


11. Termination and Suspension

The Company may suspend or terminate User access to the System at any time, with or without cause, including but not limited to violations of these Terms.


12. Limitation of Liability

  • The Company is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the System, including but not limited to loss of data, loss of profits, or other intangible losses.
  • The Company's liability, if any, is limited to the amount the User has paid for the use of the System during the twelve (12) months prior to the event giving rise to the claim.


13. Indemnification

Users agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from their use of the System, including any violation of these Terms.


14. Updates and Modifications

The Company reserves the right to modify or update the System, including its features, content, and functionalities, at any time. Users will be notified of significant changes, and continued use of the System after such changes will constitute acceptance of the updated Terms.


15. Governing Law

These Terms will be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.


16. Dispute Resolution
